Licensing Agreement

This Licensing Agreement is a legal agreement between you or the employer or other entity on whose behalf you are entering into this agreement ("Licensee") and Yulia Kuzubova ("Licensor") and the terms and conditions under which you are granted a license to use "Authored Work".

By indicating your acceptance of this licensing agreement by clicking the "I Accept licensing agreement" button while signing up to make a purchase at Pattern Shop on www.yuliakuzubovadesign.com, you agree to be bound by this Agreement. Yulia Kuzubova will be deemed to have entered into this agreement with you once you have clicked 'I Accept'.

If you do not agree to the terms and conditions set forth in this Agreement, you will not have the right to use any design available for licensing on www.yuliakuzubovadesign.com

LICENSING AGREEMENT

BACKGROUND:

This Licensing Agreement (the "Agreement") is made effective as of Month _th, 202_ by and between the following Licensor of the following address:

The Parties agree to the following:

I. GRANT OF LICENSE

1. YULIA KUZUBOVA owns the following property (the "Authored Work"):

DESIGN NAME AND SKU

(DESIGN THUMBNAIL)

2. In accordance with this Agreement, YULIA KUZUBOVA grants the Licensee an exclusive (non-exclusive) license to use the Authored Work

3. This license is non-transferable and is subject to the terms and conditions set forth in this Agreement.

4. The Licensee is entitled to reproduce, publicly display, and distribute the Authored Work only in accordance with the terms and conditions of this Agreement.​  The Authored Work used for any purpose not directly related to these terms must be with the express written permission of the Licensor and may include the payment of additional fees unless otherwise agreed to in writing.

5. YULIA KUZUBOVA retains title and ownership of the Authored Work.

6. This license is limited to the use of the Authored Work within the following geographical area:

II. ROYALTY PAYMENTS

7. Licensee shall pay to Licensor a royalty which shall be a one-time flat payment of $_____ (__________ ____ US dollars) paid upfront at the time the Licensee is granted the license to use the Authored Work.

III. MODIFICATIONS

8. The Licensee may freely make modifications to the Authored Work without any prior approval from the Licensor.

IV. DEFAULTS

9. If the Licensee fails to comply with the obligations of this Agreement, including the obligation to make any royalty payments when due, the Licensor shall have the option to cancel this Agreement by providing 30 days' written notice to the Licensee.

10. The Licensee shall have the option of preventing the termination of this Agreement by taking corrective action that cures the default, if such corrective action is taken prior to the end of the time period stated above and if there are no other defaults during such time period.

V. TRANSFER OF RIGHTS

11. This Agreement shall be binding on any successors of the Parties.

12. Neither Party shall have the right to assign its interests in this Agreement to any other Party, unless the prior written consent of the other Party is obtained.

VI. TERMINATION

13. This Agreement shall automatically terminate on _______.

VII. ENTIRE AGREEMENT

14. This Agreement contains the entire Agreement between the parties regarding the subject matter of this Agreement, and there are no other promises or conditions in any other Agreement, whether oral or written.

VIII. AMENDMENT

15. This Agreement may be modified or amended if and only if the amendment is made in writing and signed by both Parties.
